You agree to indemnify, defend, and hold harmless MontgomeryNX and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service or your violation of these Terms.

We may suspend or terminate your access at any time for any reason, including breach of these Terms. Upon termination, all licenses granted herein will immediately cease.
The Service is provided “as is,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non‑infringement. We do not guarantee uptime, availability, or performance.
To the maximum extent permitted by law, MontgomeryNX is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to these Terms or the use of the Service, even if advised of the possibility of such damages. Our total aggregate liability for all claims arising under these Terms will not exceed the total fees paid by you in the six months preceding the claim.
a. Small Claims: Disputes or claims of up to USD 10,000 may be brought in the small claims court of the claimant’s choice in Connecticut or your local small claims court if the claimant resides outside Connecticut.
b. Arbitration: For all other disputes between USD 10,000 and USD 50,000, either party may elect binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules, seat in Connecticut, maintaining confidentiality and streamlined procedures.
c. No Class or Collective Actions: You and MontgomeryNX agree that all disputes under these Terms must be brought in your individual capacity only. You waive any right to consolidate disputes, and to participate in any class, collective, or representative proceeding.
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, USA, without regard to conflict‑of‑law principles. Venue for any court proceeding permitted under Section 9(a) will be exclusively in the state or federal courts located in Fairfield County, Connecticut.
